Searches under article 9
Under RA 9, searches must be performed in the state
where a debtor is located. Where the debtor is a corporation, limited
liability company, limited partnership or limited liability partnership,
the debtor is deemed to be located in its state of formation.
Since filings under prior Article 9 may be in force up to five years after the effective date of RA 9, searches must also be performed in the state where collateral is located or where the chief executive office of a corporation, limited liability company, limited partnership or limited liability partnership is located. In certain instances, county or local level searches may still be necessary.
Under RA 9, the exact registered name of a debtor and the correct location of
a debtor (state of formation for a corporation, limited liability corporation,
limited partnership or limited liability partnership) must be used. /p>
